1. Services Overview

Bookaboss operates:

• A peer-to-peer marketplace for high-end and commercial-grade tool rentals; and
• A lead-generation platform connecting contractors with clients for commercial and high-value projects, typically ranging from CAD $5,000 to $1,000,000.

Bookaboss acts solely as an intermediary. Tool owners and contractors ("Providers") offer tools or services directly to renters or clients ("Renters" or "Clients"). Bookaboss does not own, supply, supervise, or perform any tools or services unless explicitly stated in writing.

2. Fees and Commission

2.1 Platform Commission

Bookaboss charges a 15% commission on the total booking value of each completed transaction. This commission is deducted prior to payout to the Provider.

2.2 Additional Fees

Applicable taxes, payment processing fees, deposits, or legally required charges may be added to a transaction and disclosed at checkout.

2.3 Payment Processing

By making or accepting a booking, you authorize Bookaboss to charge and process payments on your behalf through third-party payment processors.

3. Booking, Payments, and Payouts

3.1 Payment Authorization

Renters authorize Bookaboss to charge the full booking amount, including fees and deposits, upon confirmation or service delivery.

3.2 Provider Payouts

• Standard Payouts: Released weekly, following a 5-business-day clearing period, at no additional cost.
• Instant Payouts: Optional expedited payout within approximately 30 minutes, subject to a 2% payout fee.

3.3 Security Deposits

For tool rentals, a refundable damage deposit (typically up to 50% of estimated tool value) may be pre-authorized. Deposits are released upon timely return in acceptable condition, subject to inspection.

4. Cancellations, No-Shows, and Late Returns

4.1 No-Shows

• Renter No-Show: 15% of the booking value is forfeited as an inconvenience fee.
• Provider No-Show: Provider must refund all prepaid amounts and pay a 15% inconvenience fee to the Renter.

4.2 Late Cancellations

Cancellations within 24 hours of the scheduled start time are treated as no-shows unless otherwise specified.

4.3 Late Returns

• Up to 1 hour late: 15% late fee
• Beyond 1 hour: Additional 10% per hour, rounded down to the nearest full hour.

5. Damage, Loss, and Tool Condition

5.1 Damage Claims

Damage or loss must be reported within 24 hours of tool return. Bookaboss may apply deposits toward repair or replacement costs. Any unused balance is refunded.

5.2 Provider Responsibilities

Providers must list only tools that are lawful, well-maintained, and safe for use. Bookaboss reserves the right to remove non-compliant listings.

6. Fraud, Misuse, and Enforcement

Fraudulent, deceptive, or illegal conduct is strictly prohibited. Bookaboss may:

• Suspend or terminate accounts;
• Withhold payouts or deposits;
• Impose contractual penalties or liquidated damages;
• Refer matters to law enforcement or pursue civil remedies.

Zero tolerance applies to repeat or material violations.

7. Disclaimers and Limitation of Liability

7.1 Platform Disclaimer

The Services are provided "as is" and "as available." Bookaboss disclaims all warranties, express or implied, to the maximum extent permitted by law.

7.2 Independent Providers

Providers are independent third parties. Bookaboss does not control or guarantee the quality, safety, legality, or suitability of any tool or service.

7.3 Assumption of Risk

Users assume all risks arising from tool rentals or contracted services. Bookaboss is not liable for injuries, damages, losses, or claims arising from platform use.

7.4 No Class Actions

All claims must be brought individually. Class, collective, or representative actions are expressly waived where permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Bookaboss, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Services or breach of these Terms.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

9.2 Arbitration

Except where prohibited, disputes shall be resolved by binding individual arbitration in Ontario. Jury trials and class proceedings are waived.

9.3 Opt-Out

You may opt out of arbitration by written notice within 30 days of first accepting these Terms.

10. Changes to Terms

Bookaboss may modify these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
